DRAFT - to be reviewed by our lawyer before launch.
These terms are the agreement between you and us for using ForestBill. Please read them. They are written in plain English on purpose. If anything is unclear, write to support@forestbill.com.
1. Who we are
ForestBill is a product of Genyune SMC-Private Limited, a company registered in Pakistan.
- Registered address: [[REGISTERED ADDRESS]]
- Company registration number: [[COMPANY REGISTRATION NUMBER]]
- Phone: [[PHONE]]
- General and sales: hello@forestbill.com
- Support, privacy requests and security reports: support@forestbill.com
In these terms, "ForestBill", "we", "us" and "our" mean Genyune SMC-Private Limited. "You" means the business that uses ForestBill (we call it an agency), and the people who use ForestBill for that business.
2. What ForestBill is
ForestBill is online software for billing. With it, an agency can:
- run one or more brands, each with its own look, invoice numbers and email sender;
- keep a list of its clients;
- send invoices, estimates and payment links, and record payments and refunds;
- run subscriptions and recurring invoices;
- send contracts for electronic signature;
- give its clients a client portal;
- connect its own payment accounts (for example Stripe and PayPal) and its own email accounts.
The full list of features is on our website and inside the app. Features can change over time (see section 15).
3. ForestBill is not a payment provider
This is important, so we say it plainly:
- ForestBill does not take, hold or move your clients' money. Your clients pay through your own payment accounts (for example your own Stripe or PayPal account). The money goes straight from your client to that account.
- You are the seller (the "merchant of record") for everything you sell to your clients. You, not ForestBill, are responsible for your products and services, your prices, your refunds, your chargebacks and disputes, and your fees with the payment provider.
- ForestBill never sees card numbers. Card details go from your client's browser straight to the payment provider. We only store what the provider sends back, such as the card brand, the last 4 digits and the expiry date.
- Your use of a payment provider is governed by your own agreement with that provider. You must follow its rules. If the provider closes or limits your account, we cannot reopen it.
4. Who may use ForestBill
ForestBill is for businesses and freelancers. To use it:
- you must be at least 18 years old;
- you must use ForestBill for your business or professional work, not for personal, family or household purposes;
- if you accept these terms for a company, you confirm you are allowed to do so for that company.
5. Your account
- Today, ForestBill creates each agency and invites its first Owner by email. An agency's Owners can then invite their team.
- Keep your password safe and turn on two-step sign-in (2FA). Your agency's Owners can require 2FA for the whole team.
- You are responsible for what happens in your workspace, including what your team members do.
- Give each person their own login. Do not share logins.
- Tell us at once at support@forestbill.com if you think someone got into your account.
6. Plans and payment
- ForestBill has four plans: Solo, Trio, Quintet and Orchestra. Each plan has limits (for example how many brands or team members you can have). The price and limits of your plan are shown on your Billing page.
- You can pay monthly or yearly, either by card through Stripe or by invoice, as agreed with us.
- With card billing, your card is charged automatically at the start of each period until you cancel.
- Prices do not include any taxes. ForestBill does not add VAT to its plan invoices. You are responsible for your own taxes, including any tax that applies to your purchase of ForestBill in your country, and any VAT or sales tax you charge your own clients.
- We may change prices. We will tell you by email at least 30 days before a new price applies to you. The new price applies from your next billing period.
If a payment fails
- We email your Owners a reminder on the day the payment fails, and again after 3 and 6 days.
- If the payment is still not made after 7 days, your workspace becomes read-only. You and your team can still see and export everything, but you cannot make changes.
- While read-only, your clients can still use their pay pages and the client portal, and payments from your clients keep being recorded.
- As soon as the payment is made, your workspace works normally again.
7. Cancelling, refunds and plan changes
- You can cancel at any time. Write to support@forestbill.com, or an Owner can close the workspace from the agency settings.
- When you cancel, your plan keeps running until the end of the period you already paid for. You will not be charged again.
- We do not give refunds, including for unused time or for part of a period, except where the law requires it or where we charged you by mistake.
- To move to a bigger or smaller plan, contact us. A new price applies from your next billing period. If you move to a smaller plan while over its limits, nothing is deleted, but you cannot add more until you are within the limits.
More detail: our Refund Policy.
8. Your data
- Your data is yours. This includes your clients, invoices, payments, contracts and files.
- You give us permission to store and process your data only to run ForestBill for you, keep it secure, and support you.
- You decide what data about your clients goes into ForestBill. For that data, you are the "controller" and we are your "processor". Our Data Processing Addendum applies and is part of these terms.
- You must have the right to put your clients' data into ForestBill, and you must give your clients any notices the law requires (for example your own privacy notice).
- How we handle personal data is explained in our Privacy Policy.
- An Owner can export all of your data at any time (one ZIP file with CSV files and PDF documents).
9. Support sessions
To help you with a problem, a ForestBill staff member may open your workspace in a support session:
- the staff member must type a reason and confirm with a fresh 2FA code;
- a session lasts at most 60 minutes;
- your Owners get an email when a session starts;
- everything done in the session is recorded in your audit log, marked "ForestBill support";
- in a support session staff cannot see your stored secrets (such as payment keys or email passwords), cannot manage your team and cannot export your data.
10. Electronic signatures
ForestBill lets you send contracts for electronic signature. Each signed contract gets a signing record (who signed, when, how, and a fingerprint of the document) so later changes can be detected.
- Whether an electronic signature is valid for a given contract depends on the law of the countries involved and on the kind of contract. Some documents need a handwritten or specially certified signature.
- You are responsible for checking that electronic signatures are suitable for your contracts.
- Contract templates and texts in ForestBill are examples only. They are not legal advice.
11. Acceptable use
You must follow our Acceptable Use Policy. In short: no illegal goods or services, no fraud, no spam, no businesses that the payment providers do not allow, no reselling of ForestBill access, and no attacks on, or scraping of, ForestBill.
12. Our responsibilities
- We work hard to keep ForestBill available, secure and working well. We use reasonable care and skill.
- We protect your data with measures such as encryption of stored secrets, two-step sign-in, a tamper-evident audit log and encrypted backups. Details are in the Privacy Policy and the Data Processing Addendum.
- We cannot promise that ForestBill will always be available or free of errors. We may need to pause it for maintenance; we try to do this at quiet times and to warn you for planned work.
- We do not give legal, tax or accounting advice. Tax settings and texts in ForestBill are tools; you decide how to use them.
13. Suspension and closing an account
We may make your workspace read-only, or block it, if:
- a payment to us is unpaid for more than 7 days (see section 6);
- you seriously break these terms or the Acceptable Use Policy;
- we need to stop fraud, abuse or a security threat, or the law requires it.
In an emergency (for example fraud), we may block your workspace and close your client pages straight away. Otherwise we will tell you first and, where it makes sense, give you time to fix the problem.
When an account is closed
- An Owner, or ForestBill, starts the closure. A full data export is made for your Owners. Subscriptions are stopped and client pages close.
- There is a 30-day grace period. During it you can still export your data, or cancel the closure.
- After 30 days, personal data is deleted. Financial records (such as invoices, payments, refunds and contracts) are kept in anonymised form for 5 years, then deleted for good.
14. Limits on our liability
- Our total liability to you for everything relating to ForestBill is limited to the fees you paid us in the 12 months before the event that caused the claim.
- We are not liable for indirect losses, such as lost profits, lost business, lost goodwill or lost data that you could have exported.
- We are not responsible for what payment providers, email providers or other services you connect do, or for problems on their side.
- Nothing in these terms limits liability that the law does not allow us to limit (for example for fraud).
15. Your responsibilities to us
If someone makes a claim against us because of your content, your products or services, or because you broke these terms or the law, you will cover our reasonable costs and losses from that claim.
16. Changes to ForestBill and to these terms
- We improve ForestBill all the time. We may add, change or remove features. If we remove a major feature you pay for, we will tell you in advance.
- We may update these terms. For material changes, we will email your Owners at least 30 days before the change applies. Small changes (such as fixing typos or making text clearer) may apply straight away.
- If you do not agree with a change, you can cancel before it applies. If you keep using ForestBill after that, the new terms apply.
17. Law and courts
These terms are governed by the laws of Pakistan. The courts of Karachi have jurisdiction over any dispute. Before going to court, please write to us at support@forestbill.com so we can try to solve the problem together.
18. Other things
- If one part of these terms is found invalid, the rest still applies.
- If we do not enforce a right straight away, we do not give it up.
- You may not transfer this agreement to someone else without our written agreement. We may transfer it to a company that takes over ForestBill; we will tell you if that happens.
- These terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy and Data Processing Addendum, are the whole agreement between us about ForestBill.
